Romania market entry: what to decide before opening a company

A Romanian company can support a market-entry plan, but it cannot replace evidence of demand. Set the commercial choices first, then build the operating structure around them.
Start with a customer, not a company form
Which customer group in Romania has a problem you can solve, and why would it choose you now? Describe a priority segment by use case, buying role, geography and purchasing process. ‘Romanian SMEs’ is rarely specific enough for a sales team to act on.
Test the proposition through structured conversations, a small pipeline and, where useful, a limited pilot. Find out how buyers currently purchase, what proof they need, who owns the budget and what would stop them switching. Record objections with the same care as expressions of interest. These findings should shape the offer and pricing before incorporation work begins.
Choose a route to market you can manage
Direct sales, a distributor, an agent or a hybrid model may each be appropriate for a different segment. The choice affects speed, customer ownership, after-sales responsibilities and what market information reaches your team. Decide by customer type rather than assuming one national channel will work for everything.
Before appointing partners, assess customer coverage, relevant category experience, service capacity, potential conflicts and reporting discipline. Put lead ownership, targets, access to customer data, branding and exit arrangements in writing. A list of contacts is not yet an accountable route to market.
Fit legal and financial setup to the commercial plan
Once the sales route is credible, determine which legal presence supports contracts, invoicing, people and governance. A local entity, branch or cross-border structure may lead to different requirements. Registration provides an operating vehicle; it does not validate demand or bring in customers.
The EU's Your Europe guidance notes that national requirements differ and that registration and, in some cases, permits or licences may be needed. Confirm activity classification, accounting, tax, employment and filing obligations with qualified Romanian advisers. Access2Markets can help businesses review applicable trade conditions where cross-border goods are involved. Do not assume a company form settles every issue.
Make the first 90 days measurable
In the first month, refine the target-account list, localise the sales message and prepare the essential contracting and onboarding materials. In the following weeks, run outreach or partner meetings and examine where conversations stall. Then concentrate effort on the segments and channels producing qualified next steps.
Review meetings with the right buyers, proposals requested, partner activity, sales-cycle friction and reasons for lost opportunities. Adjust assumptions weekly. A focused discussion with an experienced local team can help stress-test the sequence; the goal is a grounded launch plan, not a generic promise of growth.
